Position Title: Assistant Company Secretary and Statutory Liaison

Job Summary Statement/Purpose:
Assist in the facilitation and administration of Company Secretary duties as outlined in the Companies Act, King IV and guided by PFMA regulations.

Qualifying Criteria

1. Meeting management and Board appointments
• Provide for the proper recording of minutes in relation to all Executive Committee, Board and Board Committee meetings.
• Ensure the correct registration of Directors.
• Assist in recommendation of Director candidates to the Board.
• Ensure meetings have quorum and reschedule if required.

2. Compliance with regulations
• Adherence to National Treasury compliance dates.
• Requesting information for report to the relevant regulatory bodies.
• Liaise with National Treasury units regarding all Shareholder matters that do not require Minister.
• Submission of appointment forms for Key Individuals to the regulator/s.
• Submission of applications forms for the business in line with regulations.

3. Query referrals
• Adherence to CIPC, FSCA, Prudential Authority and National Treasury compliance dates.
• Facilitation of performance assessment of relevant committees and committee members, where applicable.
• Requesting information for reporting to the relevant regulatory bodies.
• Ensure adherence to Record Management requirements in terms of National Archives Act.
• Ensure adherence to Policy Governance Framework.

4. Perform ad hoc tasks
• Perform any reasonable tasks as and when required by the Line Manager.

• 3 Year degree/diploma or equivalent/CIS or studying toward CIS.
• 3 – 4 years relevant experience.

• Knowledge of Companies Act regulation.
• Knowledge of legislative framework.
• Standard office procedures including filing methods.
• Knowledge of compliance processes and requirements.




• Business data processing principles as applied to minute taking and compliance to regulation.
• Reporting on outcomes of meetings to internal stakeholders.

• Maintaining attention to detail and accuracy while meeting critical deadlines.
• Exercising independent judgment within established guidelines; prioritising work and coordinating several activities/tasks at one time.
• High level of confidentiality.
